These Terms of Use ("Terms") constitute a legally binding agreement between you ("You", "Learner", "User") and Proskilla, a training brand operated by Axiva Technologies Ltd ("Axiva", "Proskilla", "We", "Our", or "Us").
These Terms govern your access to and use of Proskilla’s website, learning management system, live sessions, community platforms, course materials, and any other services or platforms introduced by Proskilla (collectively, the "Platform").
By accessing, registering on, or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, including all policies referenced herein.
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
- "Account" or "Learner Account" means an account created by a Learner on the Proskilla Platform.
- "Course Content" means all educational materials including text, videos, audios, images, assignments, projects, templates, documents, live recordings, and other learning resources made available by Proskilla.
- "Course Fees" means all tuition, deposits, instalments, or subscription fees payable for a course or program.
- "Event of Default" has the meaning given in Clause 13.
- "Personal Data" means any information provided by You or collected through your use of the Platform, including name, email address, payment information, device data, and usage data.
- "Privacy Policy" means Proskilla’s Privacy Policy, which explains how Personal Data is collected and processed.
- "Site" means Proskilla’s official website and related domains.
1.2 Interpretation
- Headings are for convenience only.
- Words in the singular include the plural and vice versa.
- References to any gender include all genders.
2. ACCEPTANCE OF TERMS
2.1 Access to the Platform and Course Content is subject to your acceptance of these Terms, along with any additional policies, guidelines, rules, or program-specific conditions issued by Proskilla.
2.2 Proskilla reserves the right to amend these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
3. ELIGIBILITY AND LEARNER ACCOUNTS
3.1 You must be at least 18 years old to use the Platform.
3.2 You agree to provide accurate, complete, and current information during registration and throughout your use of the Platform.
3.3 You are responsible for maintaining the confidentiality of your login credentials and all activities under your Account.
3.4 Account sharing is strictly prohibited. Each Account is for one individual only. Violation may result in immediate termination without refund.
4. COMMUNICATIONS AND NOTICES
By creating an Account, You consent to receive communications electronically, including:
- Admission decisions
- Payment notices
- Program updates
- Legal notices
- Marketing and educational emails (you may opt out of marketing emails)
Electronic communications have the same legal effect as physical notices.
5. LEARNER OBLIGATIONS
You agree to:
- Adhere to Proskilla’s Code of Conduct
- Pay all Course Fees as and when due
- Complete assignments, projects, and assessments honestly
- Avoid plagiarism, cheating, or academic misconduct
- Use the Course Content for personal learning only
- Provide your own devices and internet access
- Notify Proskilla of withdrawal, deferment, or inability to continue
6. COURSE FEES, PAYMENTS, AND SUBSCRIPTIONS
6.1 Course access is granted only upon payment of applicable fees.
6.2 Payments may be processed via third-party payment processors. By paying, you authorize Proskilla to share necessary information with such processors.
6.3 Instalment Plans: Failure to complete instalment payments may result in suspension or termination of access without refund.
6.4 Fee Changes: Proskilla may update pricing for future cohorts or billing cycles with prior notice where applicable.
7. COMPLETION, ASSESSMENT, AND CERTIFICATION
Certificates are issued only if the Learner:
- Completes 100% of required assignments and projects
- Achieves the minimum performance score specified for the program
- Attends required live or support sessions
- Has no outstanding financial obligations
Proskilla reserves the right to withhold certificates where these conditions are not met.
8. INTELLECTUAL PROPERTY
8.1 All Course Content, trademarks, branding, and materials are the exclusive property of Axiva Technologies Ltd.
8.2 You are granted a limited, non-transferable, revocable licence to access Course Content for personal learning only.
8.3 You may not copy, resell, distribute, reproduce, commercialise, or share Course Content.
8.4 Any unauthorised use may result in termination and legal action, including claims for damages.
9. USER-GENERATED CONTENT
9.1 You retain ownership of content you submit.
9.2 By submitting content, you grant Proskilla a worldwide, royalty-free licence to use, display, reproduce, modify, and distribute such content for educational, operational, and marketing purposes.
10. LIVE SESSIONS AND COMMUNITY USE
You may not:
- Disrupt sessions or misuse community platforms
- Record or redistribute live sessions without permission
- Use real personal or confidential data during exercises
11. SCHOLARSHIPS, PROMOTIONS, AND OFFERS
- Scholarships and promo codes are non-cash, non-transferable, and time-bound
- Prices before or after promotions are not subject to refunds
12. REFUND, CANCELLATION, AND CONDITIONAL GUARANTEE POLICY
12.1 Definitions
For the purpose of this policy, a Student refers to any individual who purchases, accesses, or uses any Proskilla programs, products, or services.
12.2 General No-Refund Rule
All purchases are final and non-refundable, except as expressly stated under the Conditional Refund or Job Guarantee provisions below.
12.3 Cancellation of Enrolment
- Once enrolment is confirmed (including class scheduling, platform access, or issuance of login credentials), cancellation is not permitted.
- Failure to attend scheduled classes does not entitle a Student to a refund.
- Token deposits, reservation fees, or advance payments made to secure a future cohort are non-refundable.
- If a Student discontinues participation or withdraws communication after payment, enrolment will be cancelled after 15 days and all fees paid will be forfeited.
12.4 Instalment and Flexible Payment Plans
- Students on instalment or flexible payment plans forfeit all refund rights.
- Failure to pay any instalment may result in suspension or termination of access without refund.
12.5 Conditional Refund (90-Day Implementation Guarantee)
A refund may be granted only if all conditions below are met:
The Student must:
- Complete 100% of the course content within the program timeline
- Submit all assignments, projects, and challenge tasks
- Actively use Proskilla’s learning resources, mentorship, and support
- Demonstrate consistent implementation of the Program’s teachings for a consecutive period of ninety (90) days. The Student shall provide documented proof of such implementation. By submitting said proof, the Student acknowledges and agrees that the Company retains sole and absolute discretion to determine whether the implementation meets the required standards of satisfaction
- Demonstrate that no measurable progress or results were achieved despite proper implementation
- Have no outstanding financial obligations
The following void refund eligibility:
- Failure to start or complete the course
- Downloading or accessing course materials
- Outstanding payments
- Academic misconduct or plagiarism
The refund request must be submitted within 90 days of payment using Proskilla’s official refund request form. Approved refunds are processed within 5-15 working days.
13. EVENT OF DEFAULT
An Event of Default occurs if You:
- Fail to pay Course Fees
- Engage in academic misconduct
- Repeatedly miss assignments or sessions
- Violate Proskilla’s Code of Conduct
Upon default, Proskilla may revoke access, terminate enrolment, and pursue recovery of outstanding fees.
14. TERMINATION
Proskilla may suspend or terminate access immediately for breach of these Terms. Upon termination, your right to use the Platform ceases.
15. EARNINGS, EMPLOYMENT, AND OUTCOME DISCLAIMER
Proskilla provides education, training, and career support only. We do not guarantee employment, income, job offers, salary levels, or business success.
Any success stories, testimonials, or income examples shared are illustrative only and depend on individual effort, market conditions, skill application, and external factors beyond Proskilla’s control.
You acknowledge that results vary and that Proskilla and Axiva Technologies Ltd are not responsible for individual success or failure.
16. LIMITATION OF LIABILITY
Proskilla and Axiva Technologies Ltd shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform.
17. INDEMNITY
The Student agrees to indemnify, defend, and hold harmless Proskilla and Axiva Technologies Ltd, including their officers, directors, and employees, from and against any and all claims, damages, obligations, losses, or liabilities arising out of the User’s use or misuse of the Platform, or any breach of these Terms.
18. FORCE MAJEURE
Neither party shall be liable for delays or failure caused by events beyond reasonable control.
19. JOB GUARANTEE POLICY (WHERE APPLICABLE)
Where a Proskilla program is explicitly advertised with a Job Guarantee, the guarantee applies only to eligible Students and is subject to strict compliance with all requirements below.
19.1 Eligibility Criteria
To qualify, the Student must:
- Be between 20 and 40 years of age.
- Hold at least a High School Diploma or equivalent.
- Possess a valid work permit and required language proficiency for the target job market.
- Maintain open availability for both remote and non-remote employment opportunities.
- Achieve 100% assignment completion with a cumulative minimum score of 90%.
- Complete the full course curriculum within a two-month (60-day) timeframe.
- Settle all tuition fees in full with no outstanding balances.
- Submit a professional portfolio that meets Proskilla’s approval standards.
- Update and maintain professional profiles (LinkedIn, CV) as directed by Proskilla reviewers.
- Attend and complete a minimum of twelve (12) career support sessions.
- Provide verifiable proof of at least one hundred (100) job applications per week.
- Submit weekly job search reports detailing all outreach activities.
- Maintain active and consistent engagement with assigned career specialists.
- Accept any reasonable job offer presented within three (3) months of graduation.
19.2 Job Guarantee Limitations
- The guarantee does not apply to salary expectations
- Job placement timelines may vary
- Geographic or relocation flexibility may be required
- The Student acknowledges that any "Job Guarantee" or placement support is strictly contingent upon a stable economic environment. In the event of factors beyond the Company’s control—including but not limited to economic downturns, industry-wide hiring freezes, political instability, civil unrest, or legislative changes—the Job Guarantee shall be rendered null and void, and Proskilla shall be released from all related liabilities and refund obligations.
Failure to meet any of the above conditions voids the Job Guarantee.
20. PRIVACY AND DATA PROTECTION
Proskilla processes Personal Data in accordance with applicable data protection laws and its Privacy Policy. By using the Platform, you consent to such processing.
21. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute not resolved amicably within 30 days shall be referred to arbitration at the Lagos Court of Arbitration (LCA) under the Arbitration and Mediation Act, 2023.
22. LEARNERS CONDUCT & MISUSE
Students are expected to maintain a respectful, safe, and productive learning environment for themselves, instructors, staff, and fellow learners. Any behavior that disrupts learning, causes harm, or violates these Terms may result in warnings, suspension, or termination of access without refund.
Examples of prohibited conduct include, but are not limited to:
- Disruption of Learning
- Interrupting or distracting instructors or other learners during live sessions.
- Sharing inappropriate or irrelevant content in class chats, discussion boards, or forums.
- Harassment, Bullying, or Hostile Behavior
- Using offensive, abusive, discriminatory, or threatening language.
- Instigating arguments, encouraging conflict, or creating a hostile atmosphere for other learners or instructors.
- Deliberately isolating, intimidating, or being unfriendly to other students in a way that hinders learning.
- Misuse of Platform or Content
- Recording or sharing live sessions or course materials without permission.
- Attempting to hack, copy, resell, or redistribute course content.
- Using the platform for illegal, fraudulent, or commercial purposes outside the program.
- Misrepresentation or False Claims
- Falsifying assignments, assessments, or submissions.
- Claiming to be an instructor or representative of Proskilla.
- Undermining the Learning Community
- Deliberately spreading misinformation or content that disrupts other learners’ progress.
- Encouraging others to violate these Terms or the code of conduct.
- Provoking or influencing others to act against instructors, staff, or other learners.
Consequences:
- Proskilla reserves the right to warn, suspend, or terminate a student’s access immediately for any violation.
- Violators may forfeit eligibility for refunds, certificates, or Job Guarantee programs.
- Serious breaches may result in legal action where applicable.
23. No Class Action
Except where prohibited by applicable law, You and Proskilla (operated by Axiva Technologies Ltd) agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be brought only on an individual basis.
Accordingly:
a. Neither party may bring or participate in any claim as a plaintiff or class member in any class action, collective action, consolidated action, or representative proceeding;
b. An arbitrator or court may not consolidate the claims of multiple individuals or preside over any form of class, collective, or representative proceeding; and
c. Any decision or award shall apply only to the individual parties involved in that particular dispute and shall not determine or affect the rights of any other user.
Nothing in this clause shall prevent the parties from resolving disputes by mutual written agreement, including through a class-wide settlement where permitted by law.
